Terms of Service

By accessing and using the MedaKi platform (“Service”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service.

MedaKi Pharma Inc. (“MedaKi,” “we,” “us,” or “our”) reserves the right to update and change these Terms of Service by posting updates and changes to the Service. You are advised to check the Terms of Service from time to time for any updates or changes that may impact you.

MedaKi provides an online platform, accessible via web browser and installable as a progressive web app (PWA), that connects customers with local pharmacies for the purpose of ordering over-the-counter products and coordinating delivery or pickup. Services include but are not limited to:

• Online pharmacy search and browsing
• Over-the-counter product ordering and checkout
• Delivery and pickup coordination

MedaKi acts as a technology platform connecting customers with independent pharmacies. All products are fulfilled by licensed pharmacies, which remain responsible for the pharmaceutical services they provide.

You must create an account to use certain features of the Service. You are responsible for:

• Maintaining the confidentiality of your account and password
• Restricting access to your computer and account
• All activities that occur under your account
• Providing accurate and complete information
• Updating your information to keep it accurate and current

You must be at least 18 years of age to create an account and use the Service. By using the Service, you represent and warrant that you meet this age requirement.

All orders placed through the Service are subject to acceptance by the participating pharmacy. Pharmacies reserve the right to refuse or cancel any order for any reason, including but not limited to:

• Product availability
• Errors in product or pricing information
• Suspected fraudulent activity

Payment is processed securely by our third-party payment processor. We accept major credit cards and popular digital wallets. You agree to provide current, complete, and accurate payment information. Prices are subject to change without notice.

When you place an order, your payment method is authorized for the order total; you are charged when the pharmacy dispatches your order (marks it shipped or ready for pickup). If your order changes before dispatch — for example, an item is removed or substituted — the authorized amount is adjusted so that you are only charged the final order total.

A pharmacy may propose to substitute an item on your order with an equivalent product, or to adjust an item's quantity where it can only supply part of what you ordered. A proposed quantity adjustment always requires your approval. A proposed substitution takes effect only with your approval, unless you pre-authorize substitutions at checkout. Pre-authorization permits the pharmacy to supply an equivalent product — the same medicinal ingredient, strength, and dosage form — provided the resulting change to your order total does not exceed the maximum price difference you selected; an equivalent that lowers your total is always within your pre-authorization. When a substitution is applied under your pre-authorization, you are notified and may reverse it at no cost until your order is dispatched or a shipping label has been purchased for it. If a proposed substitution requiring your approval is not answered within 48 hours, the order is cancelled and you are not charged.

You may set an eligible order to repeat automatically. Doing so authorizes us to charge your saved payment method for each future order in that arrangement, without further action by you, until you stop it. Repeating orders are available for pickup and local delivery only, at intervals of 2, 4, 6, 8 or 12 weeks, and require an account and a saved payment method. Before you agree, we show you the payment method to be charged, the interval, and the delivery address the arrangement will use; we record the version of these terms you were shown, together with the date and originating IP address, as evidence of your authorization.

Each repeating order is charged at the price in effect on the day it is placed, not the price at the time you set it up, and is subject to the same authorization and dispatch rules as any other order. We email you three days before each order is placed, so that you can skip or stop it before anything is charged, and again once it has been placed. If the total differs by more than 10% from the total you last agreed to, or if you have changed the items and no agreed total remains, we pause the arrangement and ask you before charging anything. If an item cannot be supplied, we skip that occurrence rather than supplying part of the order, and you are not charged. If a pharmacy permanently stops selling an item on a repeating order, or stops offering repeating orders, the arrangement ends or is paused and we notify you.

You may change the items, the interval, the payment method, or the delivery address, skip a single occurrence, pause, or cancel a repeating order at any time from your account, without contacting us and at no cost. Cancellation takes effect immediately, is confirmed by email, and prevents any further charge; it does not affect an order already placed.

Refunds and returns are subject to each pharmacy's individual policies and applicable provincial regulations.

Pharmacies selling on MedaKi pay a per-store subscription governed by the separate Subscription Services Agreement, accepted during store activation.

The Service and its original content, features, and functionality are owned by MedaKi Pharma Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without prior written consent from MedaKi.

The Apple logo is a trademark of Apple Inc., registered in the U.S. and other countries. App Store is a service mark of Apple Inc.

You agree not to misuse the Service. Prohibited conduct includes, without limitation:

• Violating any applicable law or regulation
• Placing fraudulent orders or providing false information
• Interfering with or disrupting the Service, its servers, or its security features
• Accessing the Service by automated means (scraping, bots) without our written consent
• Attempting to access accounts or data belonging to others
• Using the Service to transmit malware or harmful code

We may investigate violations and suspend or terminate accounts engaged in prohibited conduct.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDAKI DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Some jurisdictions do not allow the exclusion of certain warranties; where such laws apply to you, some of the above exclusions may not apply, and the exclusions apply to the maximum extent permitted.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDAKI PHARMA INC., NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

MedaKi acts solely as a technology platform. All pharmaceutical services are provided by independent licensed pharmacies. MedaKi is not responsible for the professional services provided by pharmacies or pharmacists.

Some jurisdictions do not allow certain limitations of liability; where such laws apply to you, the above limitations apply to the maximum extent permitted.
